2. Client Responsibilities
To ensure a smooth project delivery, the client agrees to:
Provide accurate and complete information required for the project.
Deliver necessary assets (logos, images, text) within the agreed timeline.
Ensure that all content provided does not violate any third-party copyrights.
3. Payment Terms
Advance Payment: A standard deposit (as discussed) is required before starting any project.
Final Delivery: The final project or website will be handed over only after the full payment is cleared.
Delayed Payments: We reserve the right to pause services or suspend hosting if payments are significantly delayed.
4. Intellectual Property Rights
Note: Once the final payment is made, the ownership of the website/design is transferred to the client. However, Smart Experts Connect retains the right to showcase the work in our professional portfolio unless a non-disclosure agreement (NDA) is signed.
5. Limitation of Liability
While we strive for perfection, Smart Experts Connect is not liable for any indirect, incidental, or consequential damages resulting from the use of our services or server downtimes.
We are not responsible for any issues arising from third-party plugins, scripts, or hosting providers after the project is handed over.
6. Project Timelines
We aim to deliver every project on time. However, timelines are estimates and may be affected by:
Delays in client feedback or content delivery.
Unforeseen technical complexities.
Server-side issues from third-party providers.
7. Termination of Service
Either party may terminate the agreement if the other party breaches any of the terms set forth herein. If the client cancels after the project has started, the advance deposit is non-refundable to cover the man-hours already invested.
8. Governing Law
These terms are governed by and construed in accordance with the laws of India, and any disputes will be subject to the exclusive jurisdiction of the courts in Noida/Uttar Pradesh.
